RRP Semiconductor Ltd., an Indian company with two employees and no chip-related business, experienced a 550-fold surge in its stock price over 20 months, reaching a market capitalization of $1.7 billion. This increase, which saw shares rise over 55,000%, significantly outpaced Nvidia's growth during the same period.

The company's stock recorded 149 consecutive trading days at its upper circuit limit. Its market capitalization grew from approximately 2.35 million Indian rupees to 12 billion rupees.

Company Background and Stock Performance

RRP Semiconductor, a small-cap stock, saw its share price increase by 63,000% in 18 months despite minimal trading volume and unclear financial conditions. Rajendra Chodankar, promoter of RRP Electronics, is also the largest shareholder of RRP Semiconductor. Chodankar acquired and renamed "G.D. Trading and Agencies" to "RRP Semiconductor" and reportedly plans to merge it with RRP Electronics. Neither RRP Semiconductor nor RRP Electronics has significant experience in the semiconductor or electronics sectors. RRP Semiconductor has not engaged in semiconductor manufacturing or applied for related government projects.

In its September quarterly financial report, RRP Semiconductor reported negative revenue of 0.7 billion rupees, attributed to a "reversal" of previously recognized revenue from a customer dispute involving a solar panel installation project. This led to a revenue trajectory that went from barely profitable in March, to zero in June, and negative in September. Despite this, its market capitalization once exceeded 15 billion rupees.

The Bombay Stock Exchange (BSE) flagged the abnormal stock price on October 20 and placed it under enhanced surveillance. However, the stock continued to rise by 2% daily, from 9,292 rupees to 11,784 rupees by November 7. The BSE subsequently tightened rules, limiting fluctuations to a maximum of 1% per week. Since its peak on November 7, the stock price has fallen by 6%. The company's price-to-earnings ratio was over 1900 times.

On November 14, RRP Semiconductor submitted a statement to the exchange, requesting that its trading price be adjusted back to 20 rupees, or another suitable price, from its artificially inflated level. Under current BSE rules, it would take at least 12 years for the stock price to fall back to 20 rupees at a maximum weekly decline of 1%.

Ownership and Regulatory Scrutiny

RRP Semiconductor's transformation began in early 2024 when Rajendra Chodankar took over GD Trading and Agencies by repaying an 80 million rupee loan in exchange for equity. On April 23, the board approved a preferential allotment of shares to Chodankar and related parties at 12 rupees per share, 40% below the market price at the time. This increased Chodankar's shareholding to 74.5% and diluted the original founder's stake to under 2%. The company was then renamed RRP Semiconductor.

Around three months prior, Chodankar also registered RRP Electronics, a private company planning to build a semiconductor assembly and testing factory. In September 2024, RRP Electronics held an event at its new factory in Navi Mumbai, attended by Maharashtra Chief Minister Devendra Fadnavis and Indian cricket legend Sachin Tendulkar.

Although RRP Semiconductor and RRP Electronics are both owned by Chodankar and listed as related parties, the listed company does not hold equity in RRP Electronics. A BSE spokesperson indicated that RRP Semiconductor's initial application stated that its founders and directors were not prohibited from the capital market, leading to approval.

Following the stock price surge, Rajendra Chodankar withdrew from the board of directors, and the Chief Financial Officer resigned before returning as Company Secretary. RRP Semiconductor also reported a social media influencer for allegedly spreading rumors about the company's association with Sachin Tendulkar or government land for chip manufacturing.

In documents submitted to the exchange last month, RRP Semiconductor stated it has not engaged in semiconductor manufacturing, has not applied for government support, and has no celebrity endorsements. In April, the exchange revoked the company's previously approved preferential allotment plan, a decision RRP Semiconductor has appealed. This veto stemmed from a Securities and Exchange Board of India (SEBI) warning in September 2024 that RRP Semiconductor was ineligible for the securities market due to its association with Shree Vindhya Paper Mills, which was delisted in 2017 and triggered a 10-year market ban. A BSE insider noted an "internal oversight" in the initial handling of the preferential allotment.

Market Implications

While RRP Semiconductor's trajectory is unlikely to impact the broader AI market, it highlights extreme speculation in certain market segments. The lack of domestic listed chip companies in India has led retail investors to seek out any listed entities associated with "chips" or "AI," creating speculative opportunities. Several exchanges and chip companies in Asia have issued warnings about AI concept trading.
